TERMS AND CONDITIONS OF USE AND
SALE
Effective Date: December 30, 2025
The following Terms and Conditions (the "Agreement") govern the use of the website
www.griloargentina.com and the purchase of any products from Solans LLC, a Wyoming Limited
Liability Company (hereinafter "The Company", "We", "Us", or "Our"). By accessing our website or
placing an order, you (the "Customer", "User", or "You") agree to be legally bound by this
Agreement.
1. LEGAL STRUCTURE AND CONTRACTUAL RELATIONSHIP
Solans LLC is the legal entity responsible for marketing, billing, and payment processing. All
products are manufactured and dispatched from Argentina by our manufacturing partner, Grilo. By
completing a purchase, you acknowledge that the contract of sale is with Solans LLC, while the
manufacturing and logistics are executed by Grilo in Argentina.
2. CUSTOM-MADE PRODUCTS AND MEASUREMENTS
● Customer Responsibility: For products made to measure (bespoke), the Customer is
solely responsible for providing accurate measurements.
● Instructional Guidance: The Company provides an instructional video on the website to
guide the Customer in taking measurements. The Customer warrants that they have
followed these instructions carefully.
● Technical Tolerance: Due to the handcrafted nature of our leather goods, the Customer
accepts a technical tolerance/margin of error of up to 1.5 cm (0.6 inches) relative to the
measurements provided. Such variations do not constitute a manufacturing defect.
● Final Sale Policy: All custom-made, made-to-order, or personalized products are FINAL
SALE. No returns, refunds, or exchanges will be accepted for errors in measurements
provided by the Customer or for a "change of mind."
3. NATURAL MATERIALS DISCLAIMER
Our products are made from 100% genuine leather. Leather is an organic material; therefore,
products may feature natural markings, scars, or slight variations in grain and color tone compared
to website photographs. These characteristics are hallmarks of authenticity and quality and shall
not be deemed defects.
4. CANCELLATION POLICY
The Customer has a strict 24-hour window from the time of purchase to request a cancellation
and full refund. After 24 hours, the order enters the production and material-cutting phase in
Argentina, and no cancellations or refunds will be issued.
5. SHIPPING, TITLE, AND RISK OF LOSS (FOB ORIGIN)
● FOB Origin: All shipments are made from Argentina via international courier. Title to the
goods and the risk of loss or damage pass to the Customer at the moment the package is
delivered to the carrier.
● Import Duties: While estimated U.S. import duties are included in the purchase price, any
unexpected administrative fees or local customs requirements in the destination country
remain the sole responsibility of the Customer.
6. LIMITED WARRANTY
Solans LLC offers a 15-day limited warranty starting from the date of delivery. This warranty is
strictly limited to major manufacturing defects (e.g., broken zippers or unraveled stitching upon
arrival). This warranty does not cover:
● Normal wear and tear.
● Damage due to improper care or storage.
● Fit issues resulting from incorrect measurements provided by the Customer.
7. LIMITATION OF LIABILITY
To the maximum extent permitted by law, Solans LLC’s total liability for any claim shall not exceed
the purchase price paid for the product. Solans LLC shall not be liable for any indirect, incidental,
punitive, or consequential damages arising from the use of our products.
8. ANTI-CHARGEBACK POLICY
The Customer agrees to contact Solans LLC support to resolve any issues before initiating a
chargeback or dispute with their financial institution. Any chargeback initiated for "fit issues" on
custom products or "change of mind" will be considered a breach of this Agreement, and Solans
LLC will use these Terms to contest such disputes.
9. PRIVACY AND DATA PROTECTION
● Data Usage: We collect personal data (name, address, email, and body measurements)
exclusively to process your order and for marketing purposes (if opted-in).
● International Transfer: The Customer expressly consents to Solans LLC sharing their
order data with Grilo (Argentina) for manufacturing and logistics purposes.
● CCPA/GDPR: We comply with U.S. data privacy standards. You may opt-out of marketing
emails at any time via the "Unsubscribe" link.
10. GOVERNING LAW AND MANDATORY VIRTUAL ARBITRATION
● Governing Law: This Agreement is governed by and construed in accordance with the
laws of the State of Wyoming, USA, without regard to its conflict of law principles.
● Mandatory Arbitration: Any dispute, claim, or controversy arising out of or relating to this
Agreement shall be settled by binding arbitration in the State of Wyoming.
● Virtual Hearings: To ensure efficiency and cost-effectiveness, both parties agree that all
arbitration proceedings, including hearings, shall be conducted virtually via
videoconference (e.g., Zoom or Google Meet).
● Class Action Waiver: All claims must be brought in the parties' individual capacity and not
as a plaintiff or class member in any purported class or representative proceeding.
11. FORCE MAJEURE
Solans LLC is not liable for delays or failures in performance resulting from causes beyond our
reasonable control, including but not limited to: customs delays, international strikes, natural
disasters, or disruptions in global logistics.
